TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

Welcome to Herizon Capital ("Herizon," "we," "our," "us").

These Terms of Service ("Terms") govern your use of:

  • Our website (herizon.capital)

  • Our educational platform and dashboard

  • Our application process

  • Our community features

  • All related services

By accessing or using our platform, you agree to these Terms. If you do not agree, do not use our services.

2. DEFINITIONS

"Platform" = Our website, dashboard, educational modules, and all digital services
"Founder" = Female talent participating in our program and receiving PRIs
"Mentor" = Advisor providing guidance to founders
"Partner" = Institution collaborating with us (capital, education, or platform)
"Donor" = Individual or institution providing philanthropic capital
"User" = Anyone accessing our platform (founders, mentors, donors, beta testers, visitors)
"PRI" = Program-Related Investment (loan or revenue-based financing)
"Content" = Text, images, videos, data, software, and materials on our platform

 

3. ELIGIBILITY

To Use Our Platform:

  • Must be 16 years or older (ages 16-17 require parental/guardian consent)

  • Must provide accurate, complete information

  • Must comply with all applicable laws in your jurisdiction

  • Must not be prohibited from receiving services under US law

To Apply as a Founder:

  • Female-identifying individual

  • Ages 16+ (parental consent if under 18)

  • Minimum 6-12 months experience in your field

  • Building a business or pursuing professional career requiring capital

  • Located in a country we can legally serve

We reserve the right to refuse service to anyone for any lawful reason.

 

4. ACCOUNT REGISTRATION & SECURITY

Creating an Account:

  • Provide accurate, current, and complete information

  • Choose a secure password

  • Keep login credentials confidential

  • Notify us immediately of unauthorized access (security@herizon.capital)

Account Responsibility:

  • You are responsible for all activity under your account

  • You may not share your account or let others use your login

  • You may not create multiple accounts to circumvent limitations

Account Termination:

  • You can close your account anytime (settings > delete account)

  • We can suspend or terminate accounts for violations of these Terms

  • Upon termination, you lose access to platform but legal obligations (repayment, confidentiality) continue

 

5. USE OF PLATFORM

Permitted Uses:

Access educational modules and complete assessments
Track your progress and capability scores
Communicate with mentors and cohort peers
Participate in workshops, events, and community forums
Download your own data and progress reports
Use platform features as intended

Prohibited Uses:

Violate any laws or regulations
Impersonate others or provide false information
Scrape, harvest, or collect data from other users
Reverse engineer, decompile, or hack the platform
Upload viruses, malware, or harmful code
Spam, harass, or abuse other users
Share login credentials or create fake accounts
Use platform for commercial purposes outside program (e.g., recruiting founders for competing service)
Copy, reproduce, or distribute our proprietary content without permission
Interfere with platform operation or security

Violation of these prohibitions may result in immediate account termination and legal action.

 

6. EDUCATIONAL PLATFORM & CONTENT

Our Content:

  • All educational modules, assessments, quizzes, videos, and materials are proprietary

  • Protected by copyright, trademark, and intellectual property laws

  • Licensed to you for personal, non-commercial use only during your participation

Your License:

  • We grant you a limited, non-exclusive, non-transferable license to access platform content

  • You may download materials for your own learning

  • You may NOT redistribute, sell, or commercially exploit our content

​

Your Content (Journals, Submissions, Feedback):

  • You retain ownership of content you create (journal entries, business plans, reflections)

  • By submitting content, you grant us a license to use it for:

    • Compiling your playbook

    • Improving our curriculum

    • Creating anonymized case studies (with your consent for identifiable use)

    • Internal research and development

Accuracy Disclaimer:

  • Educational content is for informational purposes only

  • Not a substitute for professional financial, legal, or tax advice

  • We make reasonable efforts to ensure accuracy but cannot guarantee perfection

  • You are responsible for verifying information and making your own decisions

 

7. GAMIFICATION, SCORES & MILESTONES

How It Works:

  • You earn capability scores by completing educational modules and demonstrating progress

  • Scores determine eligibility for capital tranche unlocks

  • Milestones are co-created with you and your advisor

Important Disclaimers:

  • Scores are assessment tools, not guarantees of success

  • High scores don't guarantee funding approval (final decision considers multiple factors)

  • We may adjust scoring algorithms to improve accuracy

  • Milestone requirements may be adjusted during health checks based on your progress

No Gaming the System:

  • Do not attempt to manipulate scores (e.g., completing modules without learning, sharing answers)

  • We use anti-cheating measures and may invalidate scores obtained fraudulently

  • Fraudulent behavior may result in program removal and capital repayment demand

 

8. CAPITAL DEPLOYMENT (FOR FOUNDERS)

​

Program-Related Investments (PRIs):

  • PRIs are loans or revenue-based financing, NOT grants

  • Terms specified in separate PRI Agreement (legally binding contract)

  • Acceptance into program does NOT guarantee funding (milestones must be met)

  • Capital deployed in tranches based on demonstrated capability

Repayment Obligations:

  • You are legally obligated to repay per your PRI Agreement

  • Repayment terms (revenue-based, fixed schedule, grace periods) specified in contract

  • Failure to repay constitutes breach of contract

  • We reserve right to pursue legal remedies for non-payment (though we prioritize flexible, supportive solutions)

No Guarantees:

  • We do not guarantee business success

  • We do not guarantee specific outcomes from education or capital

  • Your success depends on your effort, market conditions, and many factors outside our control

9. MENTORSHIP & COMMUNITY

​

Mentor Relationships:

  • Mentors provide guidance and advice only

  • Mentors do not make decisions for you

  • Mentor advice is not professional financial, legal, or tax counsel

  • You are responsible for your own business decisions

Community Conduct:

  • Treat all users with respect and professionalism

  • No harassment, discrimination, hate speech, or abusive behavior

  • No unsolicited commercial messages or spam

  • Respect others' privacy and confidentiality

  • Report violations to community@herizon.capital

Violation of community standards may result in removal from community forums or program termination.

 

10. PAYMENT & FEES

For Founders:

  • No upfront fees to apply or participate

  • Capital repayment obligations per PRI Agreement

For Donors:

  • Donations are non-refundable

  • Tax-deductibility subject to IRS rules (we provide receipts)

  • Recurring donations can be cancelled anytime via dashboard

For Mentors:

  • Stipends (if applicable) paid per Mentor Agreement

  • Payment processing fees may be deducted

​

We use third-party payment processors (Stripe). Their terms also apply.

 

11. INTELLECTUAL PROPERTY

Our IP:

  • "Herizon Capital," logos, branding, platform design = our trademarks

  • Educational content, software, algorithms = our copyrights

  • You may not use our trademarks without written permission

Your IP:

  • You retain ownership of your business, ideas, and creations

  • We never claim ownership of your business or intellectual property

  • Content you submit to platform (journals, feedback) = you own, but you license us to use as described in Section 6

DMCA Compliance:

If you believe content on our platform infringes your copyright, contact:

  • Your contact information

  • Statement of good faith belief

  • Statement under penalty of perjury

 

12. DISCLAIMERS & LIMITATIONS OF LIABILITY

Platform "As Is":

  • Platform provided "as is" and "as available"

  • We do not warrant that platform will be error-free, uninterrupted, or secure

  • We do not guarantee specific outcomes from using platform

  • Especially during beta: Bugs, glitches, and downtime are expected

No Professional Advice:

  • Educational content is informational, not professional advice

  • Consult qualified professionals (lawyers, accountants, financial advisors) for your specific situation

  • We are not liable for decisions you make based on platform content

Third-Party Services:

  • We integrate with third parties (Stripe, Zoom, email providers)

  • We are not responsible for their failures, outages, or privacy practices

  • Their terms and policies apply to their services

Limitation of Liability:

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE ARE NOT LIABLE FOR:

  • Indirect, incidental, consequential, or punitive damages

  • Lost profits, revenue, data, or business opportunities

  • Damages arising from use or inability to use platform

  • Damages from unauthorized access to your data

  • Damages from third-party conduct on platform

OUR TOTAL LIABILITY TO YOU IS LIMITED TO:

  • The amount you paid us in the 12 months before the claim, OR

  • $100 (whichever is greater)

This limitation applies even if we were advised of possibility of damages.

Exceptions:

Limitations do not apply to:

  • Gross negligence or willful misconduct by Herizon

  • Fraud or fraudulent misrepresentation

  • Death or personal injury caused by our negligence

  • Anything that cannot be limited by law

 

13. INDEMNIFICATION

You agree to indemnify and hold harmless Herizon, its officers, directors, employees, and partners from:

  • Claims arising from your use of platform

  • Your violation of these Terms

  • Your violation of any law or third-party rights

  • Content you submit to platform

  • Your business activities (separate from your use of our platform)

Example: If another user sues us because you harassed them on our platform, you cover our legal costs.

 

14. DISPUTE RESOLUTION

Informal Resolution First:

Before filing a lawsuit, contact us at support@herizoncapital.com to resolve disputes informally.
We'll work in good faith to find a solution within 60 days.

​

Arbitration Agreement:

For US users, disputes will be resolved through binding arbitration, not courts.

  • Arbitration administered by American Arbitration Association (AAA)

  • AAA's Consumer Arbitration Rules apply

  • Arbitration held in Delaware (or your location if you prefer)

  • One arbitrator decides (not a jury)

  • Arbitrator's decision is final and binding

You waive your right to:

  • Sue in court (except small claims court)

  • Have a jury trial

  • Participate in class actions or class arbitration

Exceptions to Arbitration:

  • Small claims court cases (under $10,000)

  • Injunctive relief for IP violations

  • Emergency or safety matters

Governing Law:

  • Delaware law governs these Terms (excluding conflicts of law principles)

  • Arbitration and court proceedings (if applicable) in Delaware

For Non-US Users:

  • Disputes resolved per laws of your country

  • Arbitration or court per local requirements

 

15. MODIFICATIONS TO TERMS

We May Update These Terms:

  • To comply with legal changes

  • To reflect new features or services

  • To improve clarity or fairness

When we update:

  • "Last Updated" date changes

  • Material changes: We notify active users via email and dashboard

  • Continued use after changes = acceptance

If you don't agree with new Terms:

  • Stop using platform

  • Close your account

  • Existing contractual obligations (PRI repayment, confidentiality) continue

 

16. TERMINATION

You Can Terminate:

  • Close your account anytime via dashboard settings

  • Stop using platform (though account remains until you delete it)

We Can Terminate:

  • Your access if you violate these Terms

  • Your account if inactive for 2+ years

  • Program participation for cause (detailed in PRI Agreement)

  • At our discretion with 30 days' notice (without cause)

Effect of Termination:

  • You lose access to platform and community

  • Your data handled per Privacy Policy (retention for legal compliance)

  • Legal obligations survive (repayment, confidentiality, indemnification)

  • Sections 6 (IP), 12 (Disclaimers), 13 (Indemnification), 14 (Disputes), and 18 (General) survive termination

 

17. ACCESSIBILITY

We strive to make our platform accessible to users with disabilities.

Current features:

  • Screen reader compatibility

  • Keyboard navigation

  • Adjustable text size

  • High-contrast mode

18. GENERAL PROVISIONS

​

Entire Agreement:

  • These Terms + Privacy Policy + any signed agreements (PRI, Mentor, Partner) = entire agreement

  • Supersedes prior discussions or understandings

Severability:

  • If any provision is unenforceable, the rest remains in effect

Waiver:

  • Our failure to enforce a provision doesn't waive our right to enforce it later

Assignment:

  • You cannot transfer your rights under these Terms

  • We can assign our rights (e.g., if Herizon is acquired)

Force Majeure:

  • We're not liable for delays/failures due to events beyond our control (natural disasters, pandemics, wars, government actions, internet outages)

Notices:

  • We send notices to your registered email

  • You send notices to legal@herizon.capital

  • Notices effective when sent

Relationship:

  • These Terms don't create partnership, employment, or agency relationship

  • You're an independent participant, not our employee or partner

20. ACKNOWLEDGMENT

By using Herizon Capital's platform, you acknowledge that:

✓ You understand this is a legally binding agreement
✓ You are 16+ years old (or have parental consent)

✓I understand that capital deployed must be repaid per PRI Agreement (founders only)

✓I consent to binding arbitration for disputes (US users)
